These terms are a contract between you and Puya Ventures (“thewav,” “we,” “us”), a [PLACEHOLDER — entity type, e.g., LLC], operating thewav.music. (“thewav” is a DBA of Puya Ventures, planned but not yet filed.) By creating an account or using thewav, you agree to these terms. If you don’t agree, don’t use thewav.
thewav is a pre-launch product. Features, availability, and these terms will change as we build. We’ll update the date above when they do.
1. who can use thewav
You must be 13 or older to create an account. If you’re under 18, you need a parent or guardian’s permission to use thewav. You must provide accurate account information and keep it up to date.
thewav is currently focused on the US, with NYC as our first market. You’re responsible for complying with the laws that apply to you wherever you’re located.
2. your account
You’re responsible for everything that happens under your account, including activity by anyone you give access to your login. Tell us right away at support@thewav.music if you think your account has been compromised.
You can sign in with Spotify OAuth or an email magic link. Either way, you’re responsible for keeping that sign-in method secure.
3. content you post (UGC license grant)
You own the content you post to thewav — bios, profile info, links, show listings, photos, posts, and anything else you upload or write (“your content”).
By posting content on thewav, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (e.g., resizing images), publish, and display your content — solely to operate, promote, and improve thewav. This includes showing your content to other users, in search results on thewav, and in previews when your profile or a show listing is shared (e.g., link previews on other platforms).
This license ends when you delete the content or your account, except:
- copies may persist briefly in backups or caches
- content you shared with others (e.g., a show listing already viewed or saved) may not disappear from their view immediately
- we may retain content as required by law or to resolve disputes
You represent that you have the rights to post your content and that it doesn’t infringe anyone else’s rights.
4. acceptable use
Don’t use thewav to:
- impersonate another person, artist, venue, or brand (see our handle policy)
- harass, threaten, or dox anyone
- post hate speech or content that attacks people based on protected characteristics
- post spam, scams, or malware
- scrape or bulk-collect data from thewav without our written permission
- interfere with or disrupt thewav’s infrastructure
- violate someone else’s intellectual property rights
- post content you don’t have the right to post
- use thewav for anything illegal
We can remove content, suspend features, or take other action if you violate these rules — see our community safety and DMCA policies for specifics.
5. account termination
You can delete your account at any time from account settings, or by emailing support@thewav.music.
We can suspend or terminate your account if you violate these terms, if we’re required to by law, or if we reasonably believe your account poses a risk to thewav or other users. Where practical, we’ll tell you why. Repeat violations (including repeat copyright infringement, see our DMCA policy) will result in permanent termination.
We can also discontinue thewav entirely, with notice where reasonably possible.
6. third-party services
thewav integrates with Spotify and may integrate with other services over time. Your use of those services is governed by their own terms. We aren’t responsible for third-party services’ availability, accuracy, or conduct.
7. disclaimer of warranties
thewav is provided “as is” and “as available,” without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, or that thewav will be uninterrupted, secure, or error-free.
We don’t guarantee the accuracy of user-submitted content, including show listings, venue info, or EPK details. Verify details (like show times and locations) independently before you rely on them.
8. limitation of liability
To the fullest extent permitted by law, Puya Ventures and its officers, employees, and affiliates won’t be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of thewav — even if we’ve been advised of the possibility.
Our total liability for any claim relating to thewav is limited to the greater of (a) the amount you paid us in the past 12 months, or (b) $100.
Some jurisdictions don’t allow these limitations, so they may not fully apply to you.
9. disputes and arbitration [PLACEHOLDER — OPTIONAL]
This section is a placeholder. Whether to include mandatory arbitration, a class-action waiver, and an opt-out window is a business decision with real tradeoffs for a consumer social product — have a lawyer advise before adding binding language here.
If we add arbitration, this section will describe: the arbitration provider and rules, how to opt out within a set window after signup, small-claims-court carve-outs, and whether a class-action waiver applies. Until this section is completed and reviewed, disputes will be handled through the courts identified in the governing law section below.
10. governing law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes not subject to arbitration (see above) will be brought exclusively in the state or federal courts located in New York, and you consent to that jurisdiction.
11. changes to these terms
We may update these terms as thewav evolves. We’ll post the updated version here with a new “last updated” date. If changes are material, we’ll make a reasonable effort to notify you (e.g., email or in-app notice). Continued use after changes take effect means you accept the updated terms.
